Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hey Photo Friend ("we", "us", "our"), including our website, software, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your login credentials confidential, for all activity on your account, and for promptly notifying us of any unauthorized access. We strongly recommend enabling multi-factor authentication.

2. The Service

Hey Photo Friend provides software tools for professional photographers, including in-person sales (IPS) features, client galleries, album design, print ordering, and integrations with third-party services. Features available to you depend on your subscription plan.

3. Your content

You retain all ownership and intellectual property rights in photos and other content you upload ("Your Content"). You grant us a limited license to host, process, transmit, and display Your Content solely for the purpose of providing the Service to you and the clients you choose to share it with. We do not claim ownership of Your Content and will not use it for our own marketing without your explicit permission.

You are responsible for having all necessary rights and consents to upload Your Content, including consents from any individuals depicted (especially minors).

4. Permitted and prohibited use

You agree not to:

Upload illegal, abusive, infringing, or sexually explicit material involving minors
Use the Service to harass, defraud, or impersonate others
Attempt to interfere with, disrupt, reverse-engineer, or bypass security measures of the Service
Resell or sublicense the Service without our written permission
Use automated systems (scrapers, bots) to access the Service in ways that violate these Terms
Use the Service to send unsolicited bulk communications

5. Payments and subscriptions

Paid subscriptions renew automatically at the end of each billing period unless cancelled. Subscription fees are billed in advance and are non-refundable except where required by law. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Payment processing is handled by Stripe and Square; their terms apply to those transactions.

6. Client orders and payments

When your clients pay you through the Service, you are the merchant of record for those transactions. You are responsible for any applicable taxes, fulfillment, refunds, and chargebacks on client orders. We facilitate the payment flow but are not party to your transactions with clients.

7. Free trials and beta features

We may offer free trials or early-access features. Trials convert to paid subscriptions at the end of the trial period unless cancelled. Beta features are provided as-is and may be modified or discontinued without notice.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your account for violations of these Terms, for legal reasons, or if we discontinue the Service. On termination, we will retain or delete your information per our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

11. Indemnification

You agree to defend and indemnify us against claims arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email or a notice on the Service. Continued use after a change constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in California, and you consent to the jurisdiction of those courts.
